Medical & Dental Practices

Accounting and tax support for established medical and dental practices.

We help owner-operated practices strengthen the close, coordinate business and owner tax matters, improve partner reporting, and prepare financial information for financing or ownership transitions.

When this relationship may fit

Built for an ongoing practice-level accounting and tax relationship.

This work is designed for established, owner-operated medical and dental practices with recurring business needs, often involving multiple owners, locations, related entities, financing requirements, or a need for stronger management reporting.

The relationship begins with the practice and its business entities. Owner-level tax matters may be incorporated when they arise from the broader practice engagement.

Often a strong fit when

  • The practice, real estate, and other related entities operate on different accounting calendars.
  • The monthly close is late, inconsistent, or dependent on year-end cleanup.
  • Partner compensation and distributions need clearer recurring schedules.
  • Management or a lender needs more organized financial reporting.
  • Business decisions and owner tax planning need better coordination.
  • A partner transition or contemplated practice sale will increase scrutiny of the financial information.
How we can support the practice

Connect practice accounting, business tax, and ownership-related reporting.

Each engagement is scoped around the practice structure, existing accounting resources, systems, reporting requirements, ownership arrangements, financing needs, and upcoming decisions.

Practice accounting & reporting

Defined accounting responsibilities, account reconciliations, close coordination, entity-level management reporting, budget-to-actual review, and reporting across related practice entities where appropriate.

Client Accounting Services

Business & owner tax coordination

Entity tax compliance, projections, estimated-tax coordination, and fact-specific analysis of compensation and business decisions. Owner-level matters may be included only within the broader practice relationship.

Business Tax

Partner & lender reporting

Schedules for management's review covering compensation, distributions, related entities, and agreed lender requirements. Buy-in or buyout information can be organized for management and its advisers, but we do not provide legal advice or issue a practice valuation.

Client Accounting Services

Seller-side transition readiness

Organization of historical financial and tax information for a contemplated practice sale. The work is seller-side and is coordinated with the owner's legal, valuation, benefits, and transaction advisers.

Transaction Advisory
How the engagement begins

Define the practice structure, responsibilities, and recurring schedule.

  1. Understand the practice

Review the owners, locations, entities, current accounting process, systems, financing relationships, tax profile, reporting needs, and upcoming changes.

  2. Define responsibilities

Agree on the accounting and tax scope, information sources, management approvals, reporting schedule, deadlines, and the roles of the practice's other advisers.

  3. Establish the process

Address agreed transition or cleanup priorities and put the recurring close, reporting, and business-tax calendar into operation.

  4. Review and coordinate

Discuss financial information with practice management and coordinate with legal, valuation, benefits, lending, or transaction advisers when the agreed work requires it.

Illustrative engagement

Practice growth has made owner and entity reporting harder to coordinate.

A multi-owner dental practice operates from two locations and has a separate real estate entity. The close is inconsistent, compensation and distribution schedules are maintained outside the accounting process, and an upcoming partner retirement will require organized financial and tax information. A possible engagement could establish a recurring close, coordinate reporting across the entities, prepare management schedules for owner activity, organize the business-tax calendar, and support the practice in assembling financial information for its legal and valuation advisers.

Professional accountability

Practice-level support with clearly defined roles.

Established in 2005, John W. Halloran CPA, P.C. is a licensed New York CPA firm serving privately held companies across Long Island and the New York metropolitan area.

Practice-level coordination

Accounting, tax, partner reporting, and transition needs are considered in the context of the practice’s ownership and operating model.

Practice management responsibility

Practice management retains responsibility for business and clinical decisions, compensation and distribution approvals, authorizations, cash control, accounting records, financial statements, and information provided for the engagement.

Other advisers retain their roles

Attorneys, valuation professionals, benefits advisers, lenders, and transaction advisers remain responsible for their respective work. A separate CPA firm performs any required external financial-statement audit.

Common questions

Before we begin

What types of medical and dental practices are the strongest fit?

The strongest fit is generally an established owner-operated practice seeking an ongoing business relationship, particularly where multiple owners, locations, entities, financing relationships, or recurring reporting and tax needs have increased complexity.

How are owner-level tax matters coordinated?

Owner-level tax matters may be incorporated where appropriate only when they arise from the broader practice relationship. The engagement begins with the practice and its business entities, and the exact scope is defined in writing.

Do you provide medical billing, coding, credentialing, or healthcare regulatory services?

No. We do not provide medical billing, coding, credentialing, payer contracting, clinical, or healthcare regulatory services. The accounting scope may use payroll and other operating information supplied by the practice and its service providers.

Can you help with partner compensation, a buy-in, or a buyout?

We can prepare relevant accounting and tax analysis and organize financial schedules for management and its advisers. Practice management approves compensation and distributions, while attorneys and valuation professionals remain responsible for agreements, legal structure, valuation, transaction terms, and related conclusions.

Can you advise on entity structure or retirement and benefit plans?

We can analyze applicable business-tax consequences based on the practice's facts. Legal formation and ownership matters are coordinated with counsel. Qualified benefits and investment advisers remain responsible for plan design, administration, fiduciary, and investment matters.

Can you prepare lender reporting or help with an external audit requirement?

We can prepare management reporting and supporting schedules within an agreed scope. If an external financial-statement audit is required, we can provide preparation support while a separate CPA firm performs and issues the audit.
